TOTAL COMMUNICATIONS MAKEOVER CONTEST
OFFICIAL RULES

1. Eligibility: The Total Communications Makeover Contest ("Contest") is a trade promotion sponsored by Optimus Solutions, LLC and Cisco Systems, Inc. (collectively "Sponsors") and is only open and offered to small to medium-sized legitimate and lawful Georgia-based companies operating for a minimum of three (3) years and that currently employ at least 100 full-time employees located in Georgia ("Entrant"). Persons submitting the Entry must be at least eighteen years of age or older at time of submission, be an employee of the Entrant and enter with its permission and on its behalf. All others are ineligible to enter and will be disqualified. Employees of Optimus Solutions, LLC, Cisco Systems Inc., their related companies and immediate family and household members of each such employee are not eligible to enter. Void outside the fifty (50) United States and the District of Columbia, and where prohibited. IMPORTANT NOTICE: Entrant has the responsibility to review and understand its policies regarding its eligibility to participate in promotions. If an individual is participating in violation of Entrant's policies, that Entrant may be disqualified from this Contest, or from receiving prizes. Sponsors disclaim any and all liability or responsibility for any and all disputes related to this matter.
2. Contest Period: The Contest begins on October 10, 2007 at 9:00 a.m. Eastern Time ("ET") and ends on December 21, 2007 at 11:59 p.m. ET ("Contest Period").
3. Sponsors: The Contest is sponsored by Optimus Solutions, LLC located at 22 Technology Parkway South, Norcross, Georgia 30092 and Cisco Systems, Inc., located at 170 West Tasman Drive, San Jose, CA 95134 (collectively "Sponsors").
4. Agreement to Official Rules: Participation in the Contest constitutes Entrant's full and unconditional agreement to and acceptance of these Official Rules and the decisions of Sponsors and Judges which are final and binding in all matters related to the Contest. Winning a prize is contingent upon fulfilling all requirements set forth herein.
5. How to Enter: To enter during the Contest Period, visit http://www.totalcommunicationsmakeover.com follow the instructions to complete and submit registration for the Contest. Once submitted, entries may not be modified deleted or cancelled. Only complete Entries will be considered. LIMIT ONE (1) ENTRY PER ORGANIZATION. If multiple entries from the same Entrant are received, all but the first entry shall be disqualified. Sponsors reserve the right to disqualify any Entrant in the event of their noncompliance, unavailability for or untimely site visit; failure to co-operate in any respect with the Sponsors and/or its designated third party; any information of whatever nature provided or omitted, which is or becomes inaccurate, incomplete, misleading, or untrue; bribery; fraud; or any other reason similar or dissimilar which in the sole reasonable discretion of Sponsors should disqualify the Entrant from the Contest. In the event of a dispute as to any Entry, the authorized account holder of the email address used to enter will be deemed to be the person who made the Entry on behalf of the Organization by whom they are employed. The authorized "account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Sponsors assume no responsibility for lost, stolen, late, incomplete, invalid, illegible or misdirected submissions, Entries or claims; for failed, partial or garbled computer transmissions; or for technical failures of any kind, including, but not limited to electronic malfunctioning of any network, hardware, or software or electronic or human error which may occur in the transmission of any information related to this Contest or in the processing of Entries.
6. Judging Criteria: Entrants will be judged and selected by a qualified and knowledgeable panel of Judges in accordance with the following judging criteria ("Judging Criteria"):
Creative, thoughtful and ingenious responses to the following essay questions:
1) What communications challenges does your organization currently face?
2) How would a Total Communications Makeover impact your organization?
One (1) Grand prize winner will be selected from among all eligible Entries received, using the following criteria weighted equally: (1) company's growth prospects, impact on the community, and leadership in the local business environment and 2) company's contribution to the local business environment (examples include displaying high quality in their industry, being recognizable as a reputable business, being an industry leader and offering a product or service that will better the lives and processes of the surrounding community). Eligible Contest Entries received during the Promotion Period will be judged, according the Judging Criteria, approximately 4 weeks following the Contest Period. The Entry with the highest score will be declared the potential Grand Prize winner. In the event of a tie, the Entry (among those tied) with the highest score for Question 2 above will be deemed the potential winner for the applicable prize. All decisions by the Judges are final. Potential winners must comply with all terms and conditions of these Official Rules; winning is contingent upon verification of eligibility and compliance with all requirements herein. Sponsors reserve the right not to award any prizes if Sponsors conclude, in their sole discretion, that Entrants do not adequately meet the judging criteria.
7. Prizes: Assuming sufficient eligible Entries are received and subject to these Official Rules, One (1) Grand prize winner will be awarded up to $100,000 in prizes, including Cisco products and Optimus installation services (subject to Sponsors' final approval and in their sole discretion): up to Ninety-eight (98) Cisco 7911 IP Phones, Approximate Retail Value ("ARV") $225 each, Total ARV: $22050; One (1) Cisco IP Phone 7961, ARV: $445; One (1) Cisco IP Phone 7970, ARV: $640; One (1) 2811 Cisco Router ARV: $8295; Three (3) 3560 Catalyst Switches ARV: $17837 total; Unified Communication Manager 6.0 - Bus Ed - Top Level ARV: $33569; On-site installation services performed by Optimus Solutions, ARV $17,500. Prize Stipulations: The winners will be solely responsible for providing Internet access, dial tone, long distance service, or any other telecommunications services. The winners must have Category 5 ethernet cabling or higher. Network installation excludes proprietary software installation (other than standard business applications). All warranties are subject to the manufacturer of the product and the provider of installation services. Optimus Solutions does not assume responsibility for any malfunction that is due to the manufacturer and Cisco Systems does not assume responsibility for any malfunction that is due to the installation service provider. IMPORTANT NOTICE: All Cisco Products and installation services for the same must be redeemed within one (1) year of prize award or the prize will be forfeited in its entirety. CISCO PRODUCTS DO NOT INCLUDE LINKSYS PRODUCTS. CISCO PRODUCTS MAY INCLUDE, AT CISCO'S DISCRETION, THE PRODUCTS OR SERVICES OF ANY COMPANY ACQUIRED OR CONTRACTED BY CISCO. Prizes may not be resold, auctioned, bartered, assigned, exchanged, transferred or donated. No cash or other substitutions in whole or in part are permitted except at the discretion of Sponsors who reserve the right to substitute a prize of comparable value if the prize is deemed unsuitable for Participant's company in Sponsor's sole discretion, becomes unavailable, or cannot be awarded as described for any reason. Prizes must be accepted as awarded and are non-assignable and non-transferable in whole or in part. In Sponsor's discretion, unneeded, superfluous, unclaimed, unredeemed or late redeemed prizes, or any portion thereof, will be forfeited and not awarded. All sales taxes, and any other costs, fees and expenses, installation and service (other than technical service or installation otherwise included in the prize description) and support on a prize are the sole responsibility of winner. Any and all federal, state, provincial and local taxes, fees and surcharges on prizes are the sole responsibility of the winning organization. Prizes to any winner including those that are a federal, state, or local government organization are subject to applicable ethics laws and regulations. Sponsor may in its sole discretion, and without obligation, provide the prize winner the opportunity to participate a case study and/or in other public relations or marketing activities and in such event, winners will be required to execute appropriate additional documentation. Prizes will be awarded to the Entrant Company and not to the authorized employee entering on its behalf.
8. GENERAL CONDITIONS: Potential winners must comply with all terms and conditions of these Official Rules; winning is contingent upon fulfilling all requirements. Except where prohibited by law, potential winners must execute, sign and return an Affidavit of Eligibility/Publicity and Liability Release within twenty (20) business days of receipt.
Sponsors have the right to investigate and verify Entrant eligibility and Entry information, including without limitation legitimacy of Entrant's business or operations, and compliance with these Official Rules, and to disqualify any Entrant on the basis of its findings. In addition and without limiting any other provision in these Official Rules, Sponsors reserve the right to disqualify any Entrant (or any of its officers, director or employees) that commits any act or does anything that is or shall be an offense involving moral turpitude under federal, state, or local laws, or which association with such Entity could bring Sponsors into public embarrassment, disrepute, contempt, scandal, or ridicule, or which association insults or offends the community or any substantial organized group thereof, or which might tend to injure the success of the Contest, Cisco or any Cisco product, Optimus Solutions or any Optimus Solutions product or service. If for any reason the Contest is not capable of running as planned, including without limitation, due to infection by computer virus, bugs, tampering, technical failures, human error or any other causes beyond the control of Sponsors that corrupt or affect the administration, security, fairness, or integrity of the Contest, Sponsors reserve the right in its sole discretion, to cancel, terminate, modify or suspend the Contest. In such event, Sponsors reserve the right if feasible to judge and award prizes as provided herein from among the eligible entrie received up to the time of the impairment. Sponsors reserve the immediate right to disqualify any Entrant who, in Sponsors' sole discretion: (i) is not in compliance with these Official Rules, (ii) tampers with the entry process, the Contest, or the website; or (iii) is acting in an uncooperative, obstinate, unsportsmanlike, disruptive, abusive, or threatening manner. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsors reserve the right to seek damages from any such person to the fullest extent permitted by law.
By a submitting an Entry, each Entrant grants to Sponsors (and agrees to confirm that grant in writing) and those acting pursuant to the authority of Sponsors, the right to print, publish, display, broadcast, and use, worldwide in any media now known or hereafter developed, including, but not limited to, the World Wide Web and the Internet, at any time(s), the Entrant's name, Entry Information, statements about the promotion, and the name, image, picture, voice, hometown, and likeness of the individual who entered on behalf of the Entrant as news, information and for Sponsors' trade, advertising and/or promotional purposes without additional compensation or review. In some cases, Sponsors may in their discretion but without obligation choose to develop a promotional case study highlighting the Entrant and its use of technology.
9. SPONSOR'S RIGHTS TO CONTEST ENTRIES: By entering, Entrant represents and warrants to Sponsor that its Entry and all information therein is accurate and truthful to the best of Entrant's knowledge, and further represents and warrants that the Entry does not contain any confidential or proprietary information of the submitting organization or any third party. Submission of Entry grants Sponsor and its agents the worldwide right in perpetuity to reproduce, publish, use, edit, adapt and/or modify such Entry, in any way, in any and all media, without limitation and without compensation to Entrant. Nothing herein shall constitute an employment, joint venture, or partnership relationship between Entrant and Sponsor. In no way is Entrant to be construed as the agent or to be acting as the agent of Sponsor in any respect.
10. USE OF PERSONAL INFORMATION: Personal information (that which identifies the individual and is submitted in the Entry) will only be used to contact Entrants during the course of the Contest and/or in the event of potential prize award. However, if Entrant checks the Opt-In box on the Entry, the contact information provided may be used to contact Entrant in the future regarding Sponsor's offers, promotions and advertising. The Entry, and other information, including but not limited to information collected in the aggregate such as titles and occupations of Entrants, information about participating organizations and industries, or other information needed to meet the obligations of the Contest may be stored and used by Sponsor in the future pursuant to and in accordance with its privacy policy.
11 . Limitations of Liability: BY ENTERING THIS CONTEST OR ACCEPTING ANY PRIZE, EACH ENTRANT AND WINNERS AGREE THAT SPONSORS AND THEIR RESPECTIVE AFFILIATES, PROMOTION PARTNERS, PRIZE SUPPLIERS AND THEIR RESPECTIVE PARENTS, SUBSIDIARIES, AFFILIATES, AGENTS AND CONTRACTORS AND ALL OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS ("RELEASED PARTIES") WILL HAVE NO LIABILITY WHATSOEVER FOR, AND WILL BE RELEASED AND HELD HARMLESS BY ENTRANTS AND BY WINNERS FOR: (1) ANY INCORRECT OR INACCURATE INFORMATION, WHETHER CAUSED BY ENTRANTS, PRINTING ERRORS OR BY ANY OF THE EQUIPMENT OR PROGRAMMING ASSOCIATED WITH OR UTILIZED IN THE CONTEST; (2) TECHNICAL FAILURES OF ANY KIND, INCLUDING BUT NOT LIMITED TO, MALFUNCTIONS, INTERRUPTIONS, OR DISCONNECTIONS IN PHONE LINES OR NETWORK HARDWARE OR SOFTWARE; (3) UNAUTHORIZED HUMAN INTERVENTION IN ANY PART OF THE ENTRY PROCESS OR THE CONTEST; (4) TECHNICAL OR HUMAN ERROR WHICH MAY OCCUR IN THE ADMINISTRATION OF THE CONTEST, THE PROCESSING OF ENTRIES OR INSTALLATION OF THE PRIZES; OR (5) ANY INJURY OR DAMAGE TO PERSONS OR PROPERTY WHICH MAY BE CAUSED, DIRECTLY OR INDIRECTLY, NOW OR IN THE FUTURE, IN WHOLE OR IN PART, FROM ENTRANT'S PARTICIPATION IN THE CONTEST OR DELIVERY, MIS-DELIVERY, ACCEPTANCE, POSSESSION, SET-UP, INSTALLATION, RECEIPT, USE OR MISUSE OF ANY PRIZE, OR ANY PRIZE RELATED ACTIVITY, AND WHTER OR NOT CAUSED BY THE NEGLIGENCE OF ONE OR MORE OF THE RELEASED PARTIES. UNDER NO CIRCUMSTANCES SHALL SPONSORS OR PRIZE SUPPLIER BE LIABLE TO YOU OR ANY THIRD PARTY FOR PUNITIVE, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES (EVEN IF SPONSORS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING FROM ENTRANT'S PARTICIPATION IN THIS PROGRAM , ANY PRIZE OR ENTRANT'S RECEIPT, USE OR INSTALLATION OF ANY PRIZE. Neither Sponsors nor prize supplier are responsible for any delayed, lost, incorrect or inaccurate information, whether caused by Entrants, by any of the equipment or programming associated with or used in the Sweepstakes, or by any technical or human error that might occur. Entrants shall be deemed to have read and agree to be bound by these Rules and Conditions and by the decisions of Optimus Solutions, LLC and Cisco Systems, Inc. which shall be final and binding in all respects. Sponsors' failure to enforce any provision of these Official Rules shall not constitute a waiver of any provision.
12. Disputes: Any dispute, controversy or claim arising out of or relating to this Contest or these Official Rules, or the breach thereof, that is brought against or in any way involves Cisco Systems, Inc, shall be finally settled by arbitration located in San Jose, California and administered by the Commercial Arbitration and Mediation Center for the Americas in accordance with its rules. Judgment on the award rendered by the arbitrator(s) shall be final and binding and may be entered in any court having jurisdiction thereof. All other disputes, claims and controversies arising out of or relating to this Contest, these Official Rules or the breach thereof, shall be finally settled in Fulton County, Georgia and administered by the Commercial Arbitration and Mediation Center for the Americas in accordance with its rules. The arbitrator's judgment shall be final and binding on questions of law.
